Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ChatyTalk (chatytalk.com), a software platform that provides tools to operate document-based AI chat assistants. ChatyTalk is a technology service only. We do not provide professional, legal, medical, financial, or customer-service advice, and we do not guarantee the accuracy, legality, or suitability of AI-generated outputs or of how you use the platform. By creating an account or using the service, you agree to these Terms.

1. The Service

ChatyTalk lets organizations upload or connect knowledge-base content (documents, Google Docs, spreadsheets, and similar sources) and operate AI-powered chat assistants for their websites, applications, and WhatsApp Business channels.

The service includes a web dashboard, REST API, chat widget integration, WhatsApp webhook handling, lead capture, usage reporting, and optional subscription billing through Stripe.

2. Accounts and eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account and for API keys issued to your projects.

You must be at least 18 years old and have authority to bind your organization when registering on its behalf.

3. Acceptable use

  • Do not use ChatyTalk for unlawful, harmful, deceptive, or abusive purposes.
  • Do not attempt to bypass plan limits, security controls, or access other customers’ data.
  • Do not upload content you do not have the right to use or that infringes third-party rights.
  • Do not use the service to send spam, unsolicited bulk messages, or content that violates WhatsApp or Meta policies.
  • Do not reverse engineer, scrape, or overload the platform except as permitted by our API documentation.

4. Your content, end users, and your responsibilities

You retain ownership of documents, prompts, and other materials you upload (“Customer Content”). You grant ChatyTalk a limited license to host, process, and transmit Customer Content solely to provide the service.

You represent and warrant that you have all rights, permissions, and lawful bases necessary to upload Customer Content and to process End User data through your projects.

When you embed ChatyTalk on your website, app, or WhatsApp number, messages from your visitors or customers (“End Users”) are processed on your instructions and for your purposes. You — not ChatyTalk — are responsible for: (a) your interactions with End Users; (b) the content and lawfulness of your knowledge base; (c) privacy notices, consents, and compliance with laws applicable to your business; (d) reviewing AI outputs before relying on them; and (e) any commitments, offers, prices, or advice given to End Users via the bot.

ChatyTalk does not monitor, approve, or verify Customer Content or conversations between you and End Users, except as needed to operate, secure, or legally comply with the platform.

5. AI-generated responses — no reliance

Answers are produced automatically by third-party large language models based on your knowledge base and conversation context. Outputs may be wrong, incomplete, outdated, offensive, or misleading.

AI responses are provided for general informational purposes only. They are not a substitute for qualified human review. You use AI outputs at your own risk.

ChatyTalk is not liable for any loss, claim, dispute, regulatory action, or damage arising from AI-generated text, missed information, incorrect prices, or decisions made by you or End Users based on such text.

6. Third-party services

The service depends on third parties such as cloud hosts, Anthropic or other LLM providers, Meta/WhatsApp, Stripe, and your own integrations. Their availability, pricing, policies, and failures are outside our control.

We are not responsible for outages, API changes, account restrictions, or data handling by those third parties. Your use of them is subject to their terms.

7. Plans, billing, and limits

Paid plans, message limits, token limits, and feature entitlements are described on the pricing page and in your dashboard. Subscriptions processed through Stripe are subject to Stripe’s terms as well.

We may suspend or throttle usage that exceeds plan limits. Fees are non-refundable except where required by law or explicitly stated otherwise.

8. API keys and integrations

Project API keys, WhatsApp credentials, and third-party keys you provide must be kept confidential. You are responsible for configuring webhooks, WordPress plugins, and widgets correctly.

If you connect your own Anthropic or other provider keys, usage and charges from those providers are your responsibility.

9. Availability and changes

We strive for reliable operation but do not guarantee uninterrupted or error-free service. Maintenance, updates, or third-party outages may cause temporary unavailability.

We may modify features, limits, or these Terms. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.

10. Termination

You may stop using the service at any time. We may suspend or terminate accounts that violate these Terms or pose security or legal risk.

Upon termination, access to the dashboard and API ends. Data retention after termination is described in our Privacy Policy.

11. Indemnification

You will defend, indemnify, and hold harmless ChatyTalk, its operators, affiliates, and personnel from any claim, fine, loss, liability, or expense (including reasonable legal fees) arising out of or related to: (a) your Customer Content; (b) your use or misuse of the service; (c) your dealings with End Users; (d) your breach of these Terms or applicable law; or (e) any allegation that your materials or processing instructions infringe third-party rights or violate privacy rules.

12. Disclaimer and limitation of liability

To the fullest extent permitted by applicable law, the service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

ChatyTalk does not warrant that the service will be uninterrupted, secure, error-free, or that AI outputs will be correct or fit for your or any End User’s purpose.

To the maximum extent permitted by law, ChatyTalk and its operators shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, or goodwill, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the service in any twelve (12) month period is limited to the greater of: (a) the fees you actually paid to ChatyTalk in that period; or (b) fifty euros (€50). If you use a free plan, our liability is limited to fifty euros (€50) unless a higher amount is mandatory under applicable law.

Nothing in these Terms excludes liability that cannot be excluded by law. Where mandatory consumer rights apply to you as an individual, those rights remain unaffected.

13. Governing law and disputes

These Terms are governed by the laws applicable to the operator of ChatyTalk, without regard to conflict-of-law rules. You agree that claims must be brought in the courts having jurisdiction over the operator’s principal place of business, unless mandatory law requires otherwise.

Mandatory consumer protections in your country of residence remain unaffected where applicable.
